1. AGREEMENT TO TERMS

These Terms of Service ("Terms") constitute a legally binding agreement made between you, whether personally or on behalf of an entity ("Client," "you"), and Ezotopz Automation ("Ezotopz," "we," "us," or "our"), concerning your access to and use of our services, including Custom AI Automation Systems, Website Development, and Training (collectively, the "Services").

By engaging our Services, you agree to be bound by these Terms.

2. SERVICES PROVIDED

Ezotopz Automation provides custom-built automation solutions designed to streamline business operations.

• Scope: The specific deliverables (e.g., Sales Automation, Marketing Workflows, Website Development) will be outlined in your specific Project Proposal or Invoice.
• Delivery Method: We operate on a "Done-For-You" model which includes building the system, training your team, and providing ongoing maintenance as agreed.

3. INTELLECTUAL PROPERTY RIGHTS

This section defines ownership of the systems we build to ensure both parties are protected.

• Client Ownership: Upon full payment, you own all specific data, content, and specific deliverables created uniquely for your business (e.g., your specific website copy, your customer lists, and the specific configuration of your dashboard).
• Ezotopz Ownership (Background IP): Ezotopz retains all ownership rights to our underlying methodologies, pre-existing code blocks, automation frameworks, templates, and "know-how" used to create your system.
• License to Use: We grant you a perpetual, non-exclusive, non-transferable license to use the automation system for your own internal business purposes.
• Restriction: You may not resell, sub-license, or reverse-engineer our automation frameworks to build competing services or sell our systems to third parties.

4. AI AND THIRD-PARTY DISCLAIMER

Our solutions often integrate with third-party Artificial Intelligence platforms (e.g., OpenAI, Anthropic) and software (e.g., CRMs, Zapier).

• AI Output: You acknowledge that AI technology is experimental and may produce inaccurate or "hallucinated" results. While we design systems to minimize error, Ezotopz is not liable for the content, accuracy, or potential bias of text/images generated by AI models.
• Third-Party Dependencies: If a third-party platform (e.g., a CRM or API provider) changes their pricing, API access, or features, Ezotopz is not responsible for the resulting disruption. Maintenance packages may be required to update systems in such events.

5. CLIENT RESPONSIBILITIES

To ensure we can deliver the "3-day to 10-minute" efficiency gains we promise, you agree to:

• Provide timely access to necessary accounts (e.g., website admin, CRM, social media accounts).
• Ensure all data provided to us for processing is legally obtained.
• Review AI-generated content before public release, as per the training we provide.

6. PAYMENT TERMS

• Fees: Services are billed according to the quote/invoice provided.
• Payment Schedule: Unless otherwise agreed in writing, a deposit is required to commence work, with the balance due upon project handover.
• Refunds: Due to the custom nature of our work and the labor involved, fees are generally non-refundable once work has commenced.

7. LIMITATION OF LIABILITY

To the fullest extent permitted by law, Ezotopz Automation shall not be liable for any indirect, consequential, or special damages (including loss of revenue or data) arising from the use of our automation systems. Our total liability for any claim shall not exceed the amount actually paid by you to us during the six (6) months prior to the event giving rise to the claim.

8. CONFIDENTIALITY

We respect your business secrets. Ezotopz agrees to keep all non-public information regarding your business, customers, and operations strictly confidential and will not share it with third parties except as necessary to render the Services (e.g., connecting a database).

9. GOVERNING LAW

These Terms shall be governed by and defined following the laws of Malaysia. Ezotopz Automation and yourself irrevocably consent that the courts of Malaysia shall have exclusive jurisdiction to resolve any dispute which may arise in connection with these terms.
